Terms of Service

These Terms of Service (the "Terms") govern your purchase of tickets to, and attendance at, the event known as "Carnival Noir" (the "Event"), which is owned and organized by Velvet Edge Inc. d/b/a Velvet Edge Entertainment ("Velvet Edge," "we," "us," or "our"). Please read them carefully.
Event Specific
- Acceptance of These Terms
Before purchasing a ticket, you are asked to review these Terms and to confirm your agreement by checking the acknowledgment box at checkout. By checking that box, by completing a ticket purchase, and/or by entering the premises of the Event, you ("Attendee," "You," or "Your") agree to these Terms on behalf of yourself and any individual for whom you purchase or provide a ticket. These Terms are made available at checkout before you pay, are posted at carnivalnoir.ca/terms-of-service, and their key conditions (including the age restriction, the presence of mature content, and the assumption of risk and photography terms below) are also displayed on signage at the Event entrance. If you do not agree to these Terms, do not purchase a ticket and do not enter the Event. - Age Restriction
This Event includes mature content, nudity, and alcohol is available for purchase. Attendees must be 19 years of age or older to attend or be on the premises of the Event. You attest that both you and any individuals for whom you purchase or provide a ticket are at least 19 years of age and accept these Terms. Valid government-issued photo ID is required for entry, and Attendees will be refused entry without it. There are no exemptions to this rule, and no refunds if refused entry. - Ticket Policies
All ticket sales are final. There will be no refunds or exchanges, except as provided in Clause 9 (Event Cancellation) or as required by applicable law (see Clause 16, Consumer Rights). Tickets may be sold or transferred to another Attendee who is at least 19 years of age by the Event date, only by using our Secure Ticket Transfer System. A transfer fee may apply. Please see our FAQ for details. - Ticket Presentation
When you purchase online, you will receive your tickets electronically. To enter, you must present your digital ticket with QR code along with a valid, government-issued photo ID. Physical tickets are not valid for entry. - Outside Food & Drink
No outside food or beverages are allowed inside the venue. Attendees found in possession of such items may be asked to discard them or may be removed from the Event without a refund. - Weapons
No weapons of any kind, including but not limited to knives, firearms, or any object deemed potentially harmful by Event security personnel or management, are allowed inside the venue. Security personnel will be conducting checks, and anyone found in possession of prohibited items will be denied entry or removed from the Event without a refund. Please see our FAQ for a full list of prohibited items. - Conduct
Attendees are expected to conduct themselves in a respectful and safe manner at all times. Disorderly conduct, harassment, or any behaviour deemed inappropriate or dangerous by Event staff or security will result in removal from the Event without refund. - Assumption of Risk and Limitation of Liability(a) Released Parties. In these Terms, "Released Parties" means Velvet Edge Inc.; the Event venue and its owner and operator; and the Event's organizers, promoters, sponsors, and performers, together with the directors, officers, employees, agents, contractors, and volunteers of each of them.
(b) Nature of the Event and assumption of risk. You understand that Carnival Noir is an immersive event held in a low-light, multi-level environment and that it includes elements that carry inherent risks. These include, without limitation: crowds and close contact with others; stairs, ramps, uneven surfaces, mazes, and darkened passageways; fire and flame-based performances; aerial, pole, circus, and other physical performances; special effects, strobe and other lighting effects, haze, and loud music; the availability and consumption of alcohol by attendees; and interaction with performers and other guests. Knowing these risks, you voluntarily choose to attend and you assume all risks, whether foreseen or unforeseen, incidental to the Event, whether occurring before, during, or after it.
(c) Release and limitation. To the fullest extent permitted by law, you release the Released Parties from, and agree not to hold them responsible for, any personal injury, illness, death, or loss of or damage to property that you may suffer in connection with the Event, except to the extent caused by the gross negligence or wilful misconduct of a Released Party.
(d) Personal property. The Released Parties are not responsible for lost, stolen, or damaged personal property.
(e) Limits of this clause. Nothing in this clause excludes or limits any liability that cannot be excluded or limited under applicable law, including the Occupiers' Liability Act (Ontario) and Ontario consumer-protection legislation. This clause has been drawn to your attention before purchase through the checkout acknowledgment and at the Event through entrance signage.
- Event Cancellation
In the unlikely event of cancellation, ticket holders will be refunded the ticket price, less any service, convenience, online ordering, or other fees paid. - Privacy and Communications(a) Information we collect and why. When you purchase a ticket or attend the Event, Velvet Edge collects and uses your personal information for purposes necessary to administer your purchase and the Event, such as processing your order, delivering your ticket, verifying eligibility and age, communicating essential information about the Event, and maintaining security. We handle your information in accordance with applicable Canadian privacy law, including the Personal Information Protection and Electronic Documents Act (PIPEDA).
(b) Promotional messages are optional. We will send you marketing or promotional messages (such as news about future events by email, SMS, or mail) only where you have given separate, express consent to receive them. That consent is not a condition of purchasing a ticket or attending the Event. Every commercial electronic message we send will identify us and include a way to unsubscribe, consistent with Canada's Anti-Spam Legislation (CASL). You may withdraw your consent or unsubscribe at any time, and we will stop sending you promotional messages.
(c) Your choices. You may contact us through carnivalnoir.ca/contact-us to ask about, access, correct, or request deletion of your personal information, subject to applicable law.
Media & Photography
- Photography & Recording Equipment
Carnival Noir encourages participants to take photographs or videos for personal use using handheld point-and-shoot or self-contained photography equipment, such as phones. Professional cameras (SLR, DSLR, and the like) and the use of additional equipment (tripods, lights, detachable lenses, and similar) require an approved media pass. Building and Event security will not permit you to enter the venue with this kind of equipment if you are not in possession of a valid media pass. No professional audio or video recording devices are allowed at any time. All media and film rights in Event media created by or for Velvet Edge are reserved by Velvet Edge Inc. - Media Rights and UsageCarnival Noir is photographed and filmed. By purchasing a ticket or entering the premises, you acknowledge that you may be photographed, filmed, or recorded, and you grant Velvet Edge Inc. a perpetual, worldwide, royalty-free licence to use photographs, video, and audio recordings taken at the Event that include your image, likeness, or voice, for the purposes of documenting, promoting, advertising, and archiving Carnival Noir and Velvet Edge and its events. This includes use across websites, social media, print, and other media.
You waive any right to inspect or approve such media before use, and you waive any claim based on misappropriation of personality or use of likeness arising from uses permitted by this clause. This waiver does not apply to uses that are defamatory or otherwise unlawful, and nothing in these Terms limits any right you have that cannot be waived under applicable law. All rights in Event media created by or for Velvet Edge remain the property of Velvet Edge Inc.
Personal sharing of Event media on social media and with friends and family is encouraged. Commercial use, sale, licensing, distribution through stock agencies, or any use of Event media for monetary gain by Attendees is prohibited without the prior written permission of Velvet Edge Inc.
Media containing nudity or intimate moments is subject to the additional restrictions in Clause 13, which prevail over this clause to the extent of any conflict.
- Sensitive Content Restrictions
Media containing nudity or intimate moments may not be posted, shared, or distributed publicly without the express written permission of all subjects depicted and of Velvet Edge Inc. Media depicting nudity may not be used for profit, commercial purposes, or advertising under any circumstances without the express written permission of all subjects depicted and of Velvet Edge Inc. This restriction applies to all persons, including Velvet Edge, and prevails over Clause 12 to the extent of any conflict. - Institutional & Educational Use
News media, journalists, documentary filmmakers, academic institutions, and similar entities (collectively "Institutional Users") may not photograph, record, or document the Event without prior written approval from Velvet Edge Inc. Approved Institutional Users must attribute all Event media to "Carnival Noir" and may only use media for legitimate news, journalistic, educational, or academic purposes. Commercial exploitation of approved Institutional media is prohibited. - Unauthorized Professional Media
Any person who photographs, records, or documents the Event for professional, commercial, or public distribution purposes without an approved media pass and a signed Velvet Edge Inc. Professional Media Agreement is not authorized to do so and acquires no right to use any Event imagery. Velvet Edge may require any such person to stop recording, to delete unauthorized recordings, and/or to leave the Event without a refund, and reserves the right to pursue any legal remedies available to it, including for copyright or other infringement.
General
- Consumer Rights
Nothing in these Terms limits, waives, or overrides any right or remedy you have under the Ontario Consumer Protection Act, 2002 (or any successor legislation, including the Consumer Protection Act, 2023 once it is in force) or other applicable consumer-protection law that cannot be waived or limited by agreement. If any provision of these Terms purports to do so, that provision applies only to the extent permitted by law, and your statutory rights remain in effect. - Governing Law
These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable in it. - Jurisdiction
You irrevocably submit to the jurisdiction of the courts of Ontario for any dispute arising out of or relating to these Terms or the Event. - Entire Agreement
These Terms, together with any policies expressly referenced in them, constitute the entire agreement between you and Velvet Edge Inc. regarding the Event and supersede all prior or contemporaneous understandings and agreements regarding the Event, whether written or oral. This clause is subject to Clause 16 (Consumer Rights) and does not limit any statutory right that cannot be waived. - Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be severed, and the remaining provisions shall remain in full force and effect to the maximum extent permitted by law. - Waiver
No waiver by Velvet Edge Inc. of any term or condition set out in these Terms shall be deemed a further or continuing waiver of that term or condition or a waiver of any other term or condition. Any failure by Velvet Edge to assert a right or provision under these Terms shall not constitute a waiver of that right or provision. - Headings
The headings and section titles in these Terms are for convenience only and have no legal or contractual effect. - Assignment
You may not assign, transfer, or delegate any of your rights or obligations under these Terms without the prior written consent of Velvet Edge Inc. Velvet Edge may assign, transfer, or delegate these Terms or any rights or obligations under them without restriction. - Third-Party Beneficiaries
Except as set out in this clause, these Terms do not confer any rights or remedies on any person other than you and Velvet Edge Inc. The Released Parties identified in Clause 8 are intended third-party beneficiaries of Clause 8 (Assumption of Risk and Limitation of Liability) and of the release and waiver provisions of Clause 12 (Media Rights and Usage), and each of them may rely on and enforce those provisions as if it were a party to these Terms. - Survival
All provisions of these Terms which by their nature should survive termination shall survive, including without limitation the media and likeness provisions, the release and limitation of liability, the consumer-rights provision, and the governing law, jurisdiction, and dispute-related provisions. - Amendments
Velvet Edge Inc. reserves the right to modify or amend these Terms of Service at any time and for any reason. Any changes will be posted on carnivalnoir.ca and will be effective immediately upon posting. The current Terms are always available at carnivalnoir.ca/terms-of-service. - Force Majeure
Velvet Edge Inc. shall not be liable for any failure or delay in performance under these Terms due to causes beyond its reasonable control, including but not limited to acts of God, war, riot, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, epidemics, strikes, or shortages of transportation facilities, fuel, energy, labour, or materials.
By completing your ticket purchase and/or entering the Event premises, you acknowledge and agree to these Terms. Violation of any of them may result in removal from the Event without refund.
